A contract, deposited at the Calidor Dominion Bank.
This document serves as a binding contract between James Frazer, hereafter known as “Entrepreneur,” and James Dorian Crowe, hereafter known as “Investor,” signed this day. Whereas the Entrepreneur is seeking an investment for research and development of innovations not currently available, hereafter known as Inventions, and the Investor is willing to fund the venture, therefore both parties agree to the following conditions:
Article 1
The Investor will contribute to the Entrepreneur a quantity of funds on a monthly basis for six months, to be paid in the legal tender of Calidor and of quantity to be determined at the time of investiture. The Entrepreneur will be required to present updates to the Investor on the status of the venture in order to receive the investment. The updates, benchmarks or deliverables shall be presented every 30 days from the signing of this contract.
In addition, the Entrepreneur will abide by the following on all of his sales henceforth while this contract remains in effect:
- The Investor will receive the opportunity to observe, commission, and purchase an Invention developed by the Entrepreneur under the terms of this contract, prior to the aforementioned Invention being made available to the commercial market.
- An Investor’s Fee will be placed and charged upon all commercial goods and services pertaining to the development and/or production of Inventions provided by the Entrepreneur to both private and public parties. The Investor’s Fee will utilize a minimum rate as follows:
o A flat $15.00 fee for services less than $100.00.
o A 15% fee for services totaling more than $100.00.
- This collective Investor’s Fee will then be paid to the Investor at the end of every week.
- The Investor and select individuals designated by the Investor will be exempt from this fee.
Article 2
The money provided by the Investor will be used for the purposes of the advancement of the Entrepreneur’s technological research, testing, production, and commercial sale only.
Embezzlement or the purposeful mishandling of the Investor’s Fee by the Entrepreneur will result in the repayment of the entirety of the Investor’s monetary investment by the Entrepreneur.
Article 3
This contract is valid and legally binding from {this date} to {this date plus 180 days}, or until the Investor chooses to nullify the agreement.
This contract will be void if the latest ‘Investor’s Fee’ payment totals more than the sum of the Investor’s latest three months investments.
This contract shall be enforced according to the laws of the State of Calidor, regardless of the location of the Entrepreneur or the venture itself.
